These Terms and Conditions ("Terms") govern thepurchase and use of digital software licenses and related services provided by SoftugoLLC, a company registered in the State of Wyoming, USA (hereinafter"Softugo", "we", "us", or "our").

By accessing the website https://softugo.com (the "Site") and purchasingour products, you (the "User" or "Customer") agree to bebound by these Terms. If you do not agree to these Terms, please refrain fromusing the Site.

1. BUSINESS NATURE AND ELIGIBILITY

1.1. Softugo provides digital distribution services forsoftware products (e.g., operating systems, productivity suites, and serversoftware).

1.2. By placing an order, the User confirms they are atleast 18 years of age and possess the legal capacity to enter into a bindingagreement.

2. PROVISION OF SERVICES

2.1. Access to digital products is granted uponsuccessful payment and verification.

2.2. Softugo reserves the right to decline service to anyindividual or entity if there is reason to believe the purchase is intended forillicit purposes or involves fraudulent activity.

2.3. The User is responsible for maintaining theconfidentiality of their account credentials. Softugo is not liable forunauthorized access resulting from the User's failure to secure their logindata.

3. PRICING AND PAYMENT

3.1. All prices are displayed on the Site in thespecified currency (typically USD).

3.2. Payment must be made in full before the digitalproduct is delivered. We utilize secure, PCI-DSS compliant third-party paymentprocessors (such as Stripe).

3.3. Softugo does not store or process sensitivefinancial data (credit card numbers) on its servers.

4. DIGITAL DELIVERY PROCEDURE

4.1. Upon successful payment, the digital code or licensekey is typically delivered to the User’s registered email address or accountdashboard within 15 minutes.

4.2. Delivery may be delayed due to additional securityscreening or technical synchronization issues. In such cases, Softugo will makereasonable efforts to fulfill the order within 24 hours.

4.3. A digital product is considered "used" or"consumed" once the license key has been revealed to the User oractivated on the respective developer's platform.

5. REFUND AND CANCELLATION POLICY

This section is vital for protecting your LLC againstchargebacks.

5.1. Eligibility for Refund: A User is entitled to a fullrefund only if:

5.1.1.The request is made within 14 days of purchase AND the digital key has notbeen revealed/viewed by the User (the "Display Key" button hasnot been clicked).
5.1.2.The digital key is proven to be defective, used, or invalid at the time ofdelivery, and our technical support team is unable to provide areplacement within 48 hours.

5.2. Non-Refundable Scenarios: Refunds will not be issuedif:

5.2.1.The User has revealed/viewed the digital key.
5.2.2.The User purchased the product for the wrong region, platform, oroperating system (e.g., buying Windows for a Mac).
5.2.3.The User’s hardware does not meet the minimum system requirements for thesoftware.
5.2.4.The User’s account on the third-party platform (e.g., Microsoft) issuspended or banned for reasons unrelated to the key's validity.

6. INTELLECTUAL PROPERTY

6.1. Softugo is an independent reseller of digitalsoftware. All product names, logos, and brands (including Microsoft, Windows,Office) are the property of their respective owners.

6.2. The purchase of a digital key grants the User theright to use the software according to the End User License Agreement (EULA)provided by the software manufacturer.

7. USER OBLIGATIONS

7.1. The User must provide accurate information duringregistration and checkout.

7.2. The User must ensure their hardware and softwareenvironment is compatible with the purchased product before completing thetransaction.

7.3. The User agrees not to share or redistribute thedigital keys provided by Softugo.

8. LIMITATION OF LIABILITY

8.1. Softugo provides products and services "asis" without any express or implied warranties beyond the validity of thelicense key itself.

8.2. In no event shall Softugo LLC's total liabilityexceed the amount paid by the User for the specific transaction in question.

8.3. Softugo is not liable for any indirect, incidental,or consequential damages resulting from the use or inability to use thesoftware.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. These Terms and any disputes arising from the use ofthe Site shall be governed by and construed in accordance with the laws of theState of Wyoming, USA, without regard to its conflict of law principles.

9.2. Any legal action or proceeding related to theseTerms shall be brought exclusively in the courts located in the State ofWyoming.

10. AMENDMENTS

10.1. Softugo LLC reserves the right to modify theseTerms at any time. Changes become effective immediately upon publication on theSite. Continued use of the Site constitutes acceptance of the updated Terms.
